Terms of Service

1. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you confirm that you meet this requirement and have the legal capacity to enter into these Terms.

2. Description of the service

The Platform provides an intelligence-based compatibility assessment and related services intended to help landlords, property managers and users understand tenants' living behaviours and find compatible roommates. Hyeve account holders can look up an assessment profile by email or Trust ID.

The Platform is a self-insight and matching tool. It is not:

• a background check or credit screening service;
• a clinical, diagnostic or mental health assessment;
• a validated predictor of tenant behaviour, payment reliability or property care;
• a substitute for standard tenant screening practices such as income verification, references, credit history and prior landlord references.

Any compatibility scores, insights or behaviour summaries generated by the Platform are informational only and should not be relied on as the sole or primary basis for any housing, leasing or roommate decision.

3. Account registration

To use certain features, you must give accurate and complete information, including your name and email address. You are responsible for keeping your account credentials confidential and for all activity under your account. Do not let anyone else use your account, and tell us immediately of any unauthorised use.

4. User categories

The Platform may be used by individual tenants and roommate-seekers and by landlords and property managers. Landlords and property managers are also subject to our Landlord Terms and Acknowledgment, and anyone using roommate features is also subject to our Roommate Terms and Acknowledgment. Both are part of these Terms.

5. Acceptable use

Discriminatory use

You agree that you will not use the Platform, or any data, score or profile generated by it, to screen, filter, rank, exclude or otherwise make adverse decisions about any individual because of disability, mental health status, age, family or marital status, pregnancy, culture, ethnicity, national origin, religion, sex, sexual orientation, employment status or financial hardship, or any other characteristic protected by applicable law. You also agree not to:

• treat any behaviour, profile or score generated by the Platform as a proxy for any of those characteristics;
• use the Platform as the sole or primary basis for accepting or rejecting a tenancy or roommate application.

General misuse

You agree not to:

• search for people for any purpose other than a genuine rental or roommate decision;
• provide false, misleading or fraudulent information;
• use the Platform for any unlawful purpose;
• try to access another user's account or data without authorisation;
• reverse-engineer, scrape, copy or misuse any content from the Platform, its scoring methodology or its underlying software;
• interfere with or disrupt the Platform's operation, security or infrastructure;
• use bots, scrapers or other automated means to access the Platform, or to collect, repurpose or republish its content, without our written permission;
• impersonate any person or entity, or misrepresent your connection with any person or entity;
• upload harmful code or malware, or do anything that compromises the Platform's security.

Consequences

We may suspend or end your access to the Platform, without notice, if we reasonably believe you have broken this section, in addition to any other legal remedies available to us.

6. Fees

Taking the assessment is free. Some lookup features may later be offered on paid plans priced in naira. We will show the price before you pay, and we will not charge you for anything you have not agreed to.

7. Intellectual property

All content on the Platform, including the assessment questions, scoring methodology, profile descriptions, illustrations, branding, design and software, is owned by Hyeve Ltd or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute or create derivative works from any Platform content without our prior written consent.

You keep ownership of any content you submit, such as your assessment responses, but you give us a non-exclusive, worldwide, royalty-free licence to use, store and process that content to operate and improve the Platform, as our Privacy Policy describes.

8. No professional advice

Nothing on the Platform is legal, financial, psychological or clinical advice. The Platform is for general self-insight and matching only. If you have concerns about your mental health or wellbeing, please consult a qualified professional.

9. Disclaimers

The Platform is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that:

• the Platform will be uninterrupted, secure or error-free;
• compatibility scores or behaviours accurately predict real-world roommate or tenancy outcomes;
• any match or user you meet through the Platform will meet your expectations or requirements.

We are not responsible for the conduct, reliability or statements of any user, landlord or third party you deal with through the Platform, whether online or in person. Any agreements or tenancies you enter into with other users are solely between you and that person.

10. Limitation of liability

To the fullest extent permitted by applicable law:

• Hyeve Ltd, its officers, employees and affiliates are not liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the Platform, including loss of profits, data or housing opportunities;
• we are not required to pay you any monetary compensation, damages or other financial remedy, except where this limit or exclusion is prohibited by applicable law;
• we are not liable for any housing, leasing, tenancy or roommate decision made by you or anyone else in reliance on data or scores generated by the Platform.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms removes any right you have that the law does not allow us to remove.

11. Indemnification

You agree to indemnify, defend and hold harmless Hyeve Ltd and its officers, employees and affiliates from any claims, damages, losses or expenses, including reasonable legal fees, arising from (a) your breach of these Terms; (b) your misuse of the Platform, including any discriminatory use described above; or (c) your breach of any law or third-party right.

12. Termination

We may suspend or end your access to the Platform at any time, with or without notice, for conduct that we believe breaks these Terms or is harmful to other users, us or third parties. You may stop using the Platform and ask us to delete your account and data at any time, as set out in our Privacy Policy.

13. Third-party services

The Platform relies on services from others, such as Google sign-in and email delivery. We are not responsible for their availability or their own terms.

14. Changes to the Platform and Terms

We may change these Terms from time to time. We will tell you by posting the new Terms on the Platform. To the greatest extent permitted by applicable law, the new Terms take effect immediately, and your continued use of the Platform after we post them means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. We will first try to resolve any dispute with you in good faith. If we cannot, any dispute arising from these Terms or your use of the Platform is subject to the exclusive jurisdiction of the courts of Lagos, Nigeria.

16. Severability

If any part of these Terms is found to be unenforceable or invalid, that part will be limited or removed to the minimum extent necessary, and the rest of the Terms will stay in full force and effect.

17. Entire agreement

These Terms, together with our Privacy Policy, Landlord Terms and Roommate Terms where they apply, are the entire agreement between you and Hyeve Ltd about your use of the Platform and replace any earlier agreements.
